Objectives:

The Office of General Counsel has an opportunity open for a highly-motivated, energetic, and flexible In-house Attorney. The successful candidate will be located in the Norwalk, CT area and will be a part of a team that provides legal counsel to Xerox's Corporate Benefits group on employee benefits matters.

Essential Functions:

* Providing ongoing health and welfare benefit plan counseling, and qualified retirement plan counseling as needed

* Providing counsel on tax matters in connection with benefit plans and executive compensation matters

* Drafting plan amendments

* Drafting legal representation letters regarding our benefit plans in connection with plan audits

* Negotiating and drafting benefit plan vendor contracts

* Working with inside and outside litigation counsel to advise them on ERISA litigation

* Supporting lobbying efforts in connection with legislative, regulatory and case law developments in the benefits/ERISA/tax area and interpreting how certain legislation, regulations or case law might impact our benefit plans

* Providing counsel on new benefit plan designs and implementation

* Ensuring compliance regarding filings (IRS, DOL), document requirements (including plan document maintenance and amendments, SPDs/SMMs, SARS), responding to periodic DOL, IRS and internal audits, HIPAA and ACA compliance

* Providing counsel in connection with corporate transactions/due diligence issues that arise that have benefit plan implications

* Providing counsel in connection with subsidiaries and their transactions regarding benefit plan issues

* Providing fiduciary counseling and

* Providing executive compensation counseling, including 409A and 162(m) issues

Qualifications:

* Minimum of 4 years of experience as an attorney practicing in the area of health and welfare benefits as well as qualified retirement plan issues (experience with executive compensation counseling is a plus!)

* Strong ERISA and tax background and experience in providing counseling on plan compliance issues including HIPAA and ACA (preferably with a mix of large corporate environment & large firm supporting complex corporate clients)

* Experienced in drafting benefit plan vendor contracts

* Strong organizational skills with a demonstrated ability to manage multiple tasks

* Excellent client relation skills

* Bachelor's and Juris Doctor degree from a top quality, nationally recognized, accredited college or university, preferably in top 25% of graduating class

* Admission in good standing in at least one state bar, preferably Connecticut (would need to become Authorized House Counsel in CT if not admitted in CT)

* Excellent communication skills- both verbal and written

* Ability to work independently as well as within a team environment
