What you will do:

The Associate General Counsel will have broad experience in all areas of banking and lending matters. This lawyer will have responsibility for advising business partners on a wide range of bank legal issues including: credit policies, commercial loan transactions, problem loan workouts, bank regulatory matters, contract negotiations and miscellaneous banking related issues. The position will report directly to the General Counsel.

* Advise on all legal issues related to lending, including drafting/reviewing policies and procedures; structuring, drafting, and negotiating commercial loan transactions including syndication and participation loans; and advising on issues related to commercial and standby letters of credit.

* Reviewing due diligence items including organizational documents and addressing any closing issues.

* Negotiating, preparing and revising subordination agreements and loan agreements and modifications

* Provide legal support for other banking related activities including information technology, e-signature initiatives and online contracting, and vendor management.

* Support other Banking Practice Group team members.



Required Skills

* Juris Doctorate degree

* 7 years experience in Professional Banking counseling

* Knowledge of corporate and securities laws

* Knowledge of banking laws, regulations, and banking business products

* Ability to think outside the "Box"
