Job SummaryThe Commercial Counsel will report to the Senior Counsel, Commercial Law and Transactions, and will support the activities of various business units and functions with a focus on negotiating and analyzing contracts involving information technology, marketing, intellectual property licensing, and other vendor relationships. This is a front-line role that requires a confident, commercially minded lawyer with proven ability to manage multiple projects in a fast-paced environment.

Responsibilities include:

* Lead negotiations on technology transactions and draft contracts, including software, cloud, managed services, outsourcing and other IP licenses, professional services, etc.

* Negotiate and draft miscellaneous commercial contracts

* Maintain standard contract forms, establish and distribute other templates, best practices and guidance materials across the global legal department (e.g., template website terms, training sessions on discrete topics), and assist in the development and management of the company's contract management system

* Advise business clients on technology projects implemented in over 60 markets including mobile and other digital applications as well as ecommerce activities

* Provide commercially focused legal counseling to business clients to ensure that personal information is used in compliance with global privacy and data protection laws

* Support M&A and other strategic transactions with commercial components to the extent they arise

* Provide input on corporate policies and support compliance with same

Qualifications• 2-6 years' commercial transactional experience with training under more senior attorneys in a large legal organization (e.g., reputable international law firm or large multi-nationalcorporation). In-house experience desirable.

* Highly articulate, able to explain relevance of complex legal risks to business and other stakeholders.

* Prior experience with global technology contracts strongly preferred, including SaaS and other cloud offerings.

* Committed to professional development.

* Excellent writing, oral advocacy, and analytical skills.

* Excellent judgment, strong organizational skills and ability to remain calm under pressure desirable.

* Team player, experience in multi-cultural workplace and working with colleagues in other functions.

* Demonstrated willingness to proactively identify and resolve problems.

* Ability to work in a highly confidential environment; highest standards of ethics and professional integrity.

* Experience handling legal issues associated with development and international use of applications (mobile and otherwise) and other digital assets desirable.

* Also desirable is knowledge of international privacy law and intellectual property law.

* JD; excellent academic credentials. Admitted to practice in New York preferred.
