Seeking an Executive
Assistant to provide support for the Chief Legal Officer. In addition to typing, filing and scheduling,
performs duties such as coordination of board meetings, conferences, travel and
expenses, coordinating direct mailings, and working on special projects. Also, answers non-routine correspondence and
assembles highly confidential and sensitive information. Independent judgment
is required to plan, prioritize and organize diversified workload.

Job Responsibilities:

as the liaison to the Board of Directors and will provide legal support on
corporate governance and securities matters.

all aspects of Board of Directors and annual shareholder meetings, including
meeting calendars, agendas and distribution of materials (via board portal) as
well as logistical and administrative arrangements for meetings and directors
(including, e.g., board travel and caterers).

Housekeeping (maintain and organize board documents including minutes,
resolutions and consents).

and organizes meetings, travel, conferences for Chief Legal Officer.

develops, maintains and updates filing system for department. Retrieves
information from files when needed.

and prioritizes large volumes of information and calls.

and distributes mail. Opens mail for the CLO. Drafts written responses or
replies by phone or e-mail when necessary. Responds to regularly occurring
requests for information.

phones for the Chief Legal Officer. Takes messages or fields/answers all
routine and non-routine questions. Works in cooperation with other system
development assistants to cover phones.

as a liaison with other departments and outside agencies, including high-level
staff such as CEOs, presidents, senior vice presidents and chiefs. Handles
confidential and non-routine information and explains policies when necessary.

independently and within a team on special nonrecurring and ongoing projects.
Acts as project manager for special projects, which may include: planning and
coordinating multiple meetings, and presentations.

have strong credentials. BS/BA degree required.

of 2 years work experience in a Legal department setting. In-house experience preferred.

year of prior public company board and related corporate experience preferred.

ability to learn quickly and work independently, as well as being a
self-starter and team player.

have a strong sense of ownership and responsibility.

to establish priorities, multitask and efficiently coordinate work activities

to provide a quick turnaround without compromising quality

skills of good judgment in identifying issues that require escalation.

have good people skills to work closely with individuals at most senior-levels
of management and with board members.
