The Technology Attorney position will provide direct contract review and negotiation of standard and complex technology agreements on a global scale to support our existing Point of Sale (POS), Remote Order (RO) and Enterprise technology environments as well as the new SUBWAY?? Digital business unit. Responsibilities and subject matter experience required include, but are not limited to: Review, draft and negotiate the following types of technology agreements: POS and RO: software master licensing, sub-licensing and end user agreements, website and mobile App terms of use, hardware supplier agreements, professional services and software development agreements. Enterprise and IT support: business to business master licensing, volume licensing, outsourcing, and service level agreements, professional services agreements, API, data processing, cloud storage and information management agreements. SUBWAY?? Digital : business to business loyalty management platform agreements and business to consumer-facing loyalty program website and mobile App terms of use and end user agreement. Research and prepare memos on technology legal issues including relevant data collection and privacy laws. Help manage and maintain a technology based IP portfolio. Provide risk assessment and liability advisement to business teams in areas related to technology based initiatives and digital advertising such as commercial email and SMS messaging. Other duties and responsibilities as assigned. Requirements The successful candidate will have: JD and CT State bar admission required. A minimum of 3 years' experience with a preference of 5+ year's prior relevant experience in drafting and negotiating technology agreements. Experience necessary for effective job performance: Familiarity with legal terminology and training in technology and IP related fields. Proficient with Microsoft Office Suite.
