The ideal candidate will have excellent organizational and analytical abilities; experience working with workflow and content management systems; proven editing, proofreading, and project-management skills; and a keen attention to detail. Candidates should have a strong academic background and an interest in learning more about legal issues in the financial field. The ideal candidate will also have at least one year of prior work experience in a paralegal or administrative role with exposure to legal matters. The firm offers a collegial working environment.

Responsibilities of legal analyst

Support senior attorneys on transactional matters, including investments in third-party managed funds, co-investments/direct investments, secondary transactions and real estate transactions.
Support senior attorneys on offerings of interests in private equity funds-of-funds and direct investment funds and separate accounts.
Assist in preparation of PPMs, governing documents, subscription agreements and side letters.
Formation of limited partnerships and general partner entities.
Attention to post-closing items, including Form D filings, MFN process, LPA amendments.
Miscellaneous day-to-day matters, including NDAs, domestic and foreign entity formations and maintenance/filings, investor requests, corporate governance matters and requests from accounting, tax, marketing and investor relations teams.
Supporting the compliance professionals on an as-needed basis.
